These Terms and Conditions (the "Terms") constitute a legally binding agreement between you ("User," "you," or "your") and PurCity ApS ("PurCity," "we," "us," or "our"), governing your access to and use of our website, its content, services, and products. By accessing or using our website, you signify your acceptance of and agreement to be bound by these Terms. If you do not agree to these Terms, you may not access or use the website.

1. Intellectual Property Rights

1.1. Ownership of Intellectual Property: All content, materials, products, and services available on the PurCity.com website are the exclusive property of PurCity ApS, its licensors, or its affiliates. All such intellectual property is protected by copyright, trademark, patent, and other proprietary laws. This includes, but is not limited to:

• Patented Technology: Our innovative products, including the GapS panels and related solutions, are protected by patents, including pending and registered patents in various jurisdictions. The technical processes, designs, and algorithms are proprietary and confidential.
• Trademarks: The PurCity wordmark and its associated logo are registered trademarks. Their use is exclusively licensed to us, and any unauthorized use is strictly prohibited.
• Copyrighted Material: All original works on the website are protected by copyright. This includes text, images, photographs, graphics, illustrations, animations, 3D scenes, videos, product descriptions, technical drawings, test data, figures, tables, calculations and models, and the way they are selected and arranged. Collections of data on the website are also protected as databases.

Notice Regarding Third-Party Integrated Systems: PurCity leverages strategic partnerships and collaborations to provide comprehensive technical solutions. Certain products or services linked from PurCity.com that redirect to external domains are the property of our respective partners and collaborators. These "Excluded Systems" including specific monitoring, control, or data integration technologies are used under license and do not constitute PurCity proprietary technology. While these integrations are essential for efficient system performance, your use of external partner platforms is governed by their independent terms and conditions.

1.2. Prohibited Use of Intellectual Property: You are prohibited from using our intellectual property for any unauthorized purpose. Without the express written consent of PurCity, you may not:

• Copy, reproduce, distribute, or display any content from the website for your own commercial, marketing, or promotional purposes, including the creation of unauthorized "tractions" on social media or other platforms.
• Use the PurCity name, logo, or other trademarks in any manner that suggests affiliation, endorsement, or sponsorship by PurCity.
• Modify, reverse engineer, decompile, or disassemble any part of our website, products, or services.
• Use any automated means, such as bots, spiders, or data scraping tools, to access, extract, or collect data from the website.
• Create derivative works from our patented designs, copyrighted materials, or other proprietary information.

1.3. No Copying, Screenshots or Reuse: You may view the website and use its content to evaluate our products for your own internal purposes. Any other use requires our prior written consent. Without that consent you may not copy, download, take screenshots or screen recordings of, reproduce, publish, share, adapt or otherwise reuse any part of the content, in whole or in part. This applies in particular to use in presentations, reports, publications, tenders, offers, marketing material, competing products or services, data collections, and the training or testing of software or artificial-intelligence systems. Rights that mandatory law gives you, such as single copies for the private use of a natural person and quotation in accordance with proper usage, are not affected.

1.4. Confidential Information: Technical processes, designs, calculation models, source data and other information that is not published on this website are confidential trade secrets of PurCity. Material that we give you on request, such as site studies, reports, offers, drawings and data, is confidential. It is provided only for the purpose for which we gave it to you and may not be passed on to others or used for any other purpose without our written consent.

1.5. Enforcement: PurCity reserves all rights to its intellectual property and will take legal action to enforce these rights against any infringement or misuse. This includes claims for injunctions, reasonable remuneration and damages under applicable law, including the Danish Copyright Act and the rules on the protection of trade secrets.

2. Acceptable Use Policy

2.1. User Conduct: You agree to use the website and our services in a responsible and lawful manner. The following uses are strictly prohibited:

• Engaging in any illegal or fraudulent activity.
• Transmitting or distributing any material that is harassing, abusive, defamatory, obscene, or otherwise objectionable.
• Interfering with the operation of the website, its services, or any other user's access to the website.

3. Information on the Website, Disclaimers and Limitation of Liability

3.1. Information Disclaimer: The information provided on this website, including product descriptions, test results, and performance data, is for informational purposes only. While we strive for accuracy, PurCity does not guarantee the completeness, accuracy, or timeliness of this information. The information is provided on an "as-is" basis with no guarantees of completeness, accuracy, usefulness or timeliness.

3.2. Figures, Models and Estimates: The performance figures on this website include temperature reductions, energy and cost savings, payback periods, PUE values, reductions of CO₂ and of particles (PM), and comparisons such as trees or barrels of oil. They come from two kinds of sources:

• Measurements from our pilot installation in Brussels, Belgium, carried out in collaboration with and inside Toyota Motor Europe.
• Results calculated with our model for a stated reference case, for example a 5 MW legacy data centre in Brussels with 1,000 m² of Wall-GapS™. The model uses the pilot data together with local weather, energy-price and electricity-grid data and with the published standards and sources named next to the figures.

These figures are estimates. Actual results depend on the location and climate, the building and its orientation, the existing cooling and ventilation systems and how they are operated, energy prices, and the installation and its maintenance. They differ from site to site and can be higher or lower. Figures marked "up to" state the upper end of what we have measured or calculated. No figure on this website is a guarantee, warranty or promise of a result. We may update the figures as we collect more data.

3.3. Illustrations, Animations and Simplified Drawings: The 3D building and data-centre scenes, the air-flow pictures, the mounting scenarios, the structural (stress) analysis pictures, the fire-safety pictures and similar material are simplified to make the technology easy to understand. They are not to scale, they are not engineering documents, and they are not a certification or approval. They must not be used for design, construction, installation, structural or fire-safety decisions, and they must not be taken for a description of a specific real building.

3.4. Real Projects Require a Site-Specific Analysis: A real building or data centre requires its own analysis and engineering, based on its own data. This is a separate, paid service that PurCity provides on order and under a written agreement.

3.5. Savings Estimator and Live Counters: The savings estimator and the "Your impact" counter give indicative values from simplified assumptions and from the information you enter. They are illustrations. They are not an offer, a quotation, advice or a guarantee.

3.6. No Offer: Nothing on this website is a binding offer. A binding scope, price or performance commitment exists only in a written agreement signed by PurCity.

3.7. Sources and Third Parties: Where we refer to standards or to information from third parties, we name the source next to it. We are not responsible for third-party information. Names and logos of partners, customers, award programmes and other organisations identify them and remain the property of their owners.

3.8. Plans and Developments: Statements about ongoing developments, pending patents and future products describe our plans at the time of writing and may change.

3.9. Use at Your Own Risk: You acknowledge that any reliance on information from this website is done at your own risk. PurCity shall not be held liable for any damages or losses that may arise from your use of or reliance on the website, its content, or our products.

3.10. Limitation of Liability: To the fullest extent permitted by law, PurCity, its affiliates, officers, directors, and employees will not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including loss of data or profit, arising from your use of the website.

4. Termination

PurCity reserves the right to terminate or suspend your access to the website and its services, with or without notice, at our sole discretion, for any reason, including but not limited to a breach of these Terms.

5. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Denmark, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts of Denmark for the resolution of any disputes arising from these Terms.

6. Changes to the Terms

We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting on this page. Your continued use of the website constitutes your acceptance of the updated Terms.
